TERMS AND CONDITIONS OF USE AND USER AGREEMENT FOR SOFTLIFE APP USERS

SECTION A - TERMS OF USE
1. Introduction to Services
In these Terms of Use, any use of the words “you”, “yours” or similar expressions shall
mean any User of this Softlife application and any of its Services whatsoever. Terms
such as “we”, “us”, “our” or similar expressions shall mean Softlife application and its
Affiliates.
The Softlife application (“Softlife”) is operated by Gbedu Labs Limited (the “Company”),
a company duly registered in Nigeria under the Laws of the Federal Republic of Nigeria. By
using any of Softlife's features and services that relate to general ticketing, purchases
and allied services to include but not limited to— Events ticketing, Cinema ticketing, Valet
parking, Regular parking, Flight bookings, Ride bookings, Food sale and purchase, Drink sale
and purchase, Insurance policies —as well as other related features and services (the “Services"),
you agree to these Terms and Conditions (the “Terms”). Any new features included in the Services
in the future shall also be subject to these Terms

These additional policies further explain how we collect and use your personal data. Additional
terms may apply when you sign up for a new Service or take advantage of a new promotion or
special offer. These terms shall be disclosed to you and become part of your agreement with
us if you use those Services, promotions, or offers. If any additional terms conflict with
these Terms, those additional terms shall prevail. If you have any questions about the Terms

We encourage you to read each of the following pages carefully as it sets out the terms that
apply to your use of Softlife, and any part of all contents and materials appearing on it.
By using Softlife, you confirm that you accept the Terms of Use and you agree to comply with
them. If you do not agree to these Terms of Use, please refrain from using Softlife.
1.1 Unexpected Results: When using our
Services we may collect your personal information when you use Softlife. You hereby
acknowledge that you expressly agree to assume all risks associated with your use of the
Services, and that Softlife shall not be liable for any social, emotional, mental,
psychological, economical, political, ethical, physical, moral and/or legal consequences
of such use.
1.2 Eligibility to Use the Services: Everyone
who uses the Services, whether an unregistered guest, registered guest, Third party
companies or individuals, paid subscriber, or a purchaser, is a “User.” Users may need
to create an account to use certain Services. Users must provide accurate, complete, and
current information when registering. The Services are intended for those who are at
least 13 (Thirteen) years old or the minimum age required in your country to consent to
use the Services. If you are below the age of consent where you reside, you may use the
Services with your parent's or guardian's permission. In Nigeria, Children under the age
of 18 (Eighteen) are not permitted to create accounts. However, they are allowed to use
Softlife through their school and with their parent's or guardian's permission.
1.3 Use of Softlife App Services: In exchange
for access to the Services, you agree: (a) To comply with Softlife’s Privacy Statement,
Service Terms, Service Credit Terms, Usage Policy, Plugins and Actions Terms, Refund,
Renewal and Cancellation Terms, and Cookie Policy; (b) To comply with all Applicable
laws; (c) To provide accurate and complete information to register for an account to use
the Services; (d) To be responsible for all use and activity of the Services associated
with your Profile or login information; (e) To contact us if you suspect that your
Profile has been used without your authorization or you believe your username and
password have been stolen; (f) To subscribe to a non-refundable insurance policy upon
subscription to individual Services; (g) To waive the right to enjoy any Service and a
refund in part and/or whole of the installment payment initially made, upon failure to
complete such installment payment under our interest-free installment payment plan (also
known as “PAY-IN-5”) for any and/or such general ticketing, purchases and allied
Services as provided under Article 1 of our ServiceTerms; (h)To waive the right to a
refund for successful purchases and/or subscriptions to any of the Services; (i) To
waive the right to a refund after the Services (whether specific, generic and/or
otherwise) have been duly scheduled for commencement, commenced and/or successfully
provided, upon successful purchases and/or subscriptions to any of the Services; (j) To
accept fees, charges and taxes that may be applicable to the Services and any other
transaction that may be related to the Services and/or use of Softlife; (k) Not to
resell the Services or resell, reproduce, or publish any content or information found on
Softlife, except as explicitly described in these Terms; (l) Not to circumvent, disable
or otherwise interfere with security-related features of the Services; and (m) Not to
access or collect data in bulk or use automated means, or attempt to access data without
permission. This includes, but is not limited to, any bots, crawlers, spiders,
data-miners, or scrapers.
1.4 Additional Terms Applicable to Use of
Softlife App Services: The purpose of Softlife App Services is to provide you with
access to a range of curated lifestyle experiences, and related premium services for
your financial, informational, recreational, entertainment and health cover use, and
more. All Services shall be subject to our ServiceTerms.
1.4.1Eligibility to Use Softlife App
Services: All Users from or resident in Nigeria must be at least 18 years old to access
Softlife. To help us ensure the integrity and quality of our database and protect your
privacy, each adult must create their own login account to activate their own Softlife
Identity (“Softlife ID”) which becomes their Profile. Users hereby explicitly consent to
the processing of sensitive personal information. You also agree that upon creating your
Profile, Softlife reserves the right to issue, reserve, cancel, transfer or reassign any
username at its sole discretion. A parent or legal guardian may enroll a minor on
Softlife and provide us with personal information. By enrolling on Softlife and
submitting any personal information about a minor, you represent that you are the
minor's parent or legal guardian. You also agree that you have discussed the Softlife
Services with the minor and the minor has agreed to the enrollment process.
1.4.2 Your Use of Softlife App Services: In
addition to the requirements in Article 1 Clause 1.3 above, you also agree: (a)
To be charged for applicable fees and taxes (including charges on Third party services
and/or contents) on all subscriptions, purchases, transactions and selected payment
methods; (b) All transactions are final; (c) Services and/or content fees, prices or
charges may change at any time; (d) Any information you provide is either your own or
that of a person for whom you are a parent or legal guardian; (e) Not to be in violation
of any governing laws; (f) Not to use the information obtained from Softlife in whole,
in part, and/or in combination with any other database, in any judicial proceeding, or
for any discriminatory purpose or for any immoral and/or illegal activity.
1.4.3 Softlife's Provision of Services: You
agree that in order to facilitate your use of Softlife's Services, we may directly or
through other Third party companies: (a) Provide your information to other Third
party that help us provide the Services; (b) Upgrade Softlife as often as may be
required and deemed fit by Softlife now and/or in the future; (c) Compare your
information with other Profiles in Softlife's database to provide the Services; (d)
Disclose to you, and others that you authorize, all activities executed on your Profile;
(e) Store your funds in your Softlife wallet; (f) Your insurance policy shall be
personal to you. It shall be Service specific, and cannot be refunded to you if you
choose to cancel any Services to which the Insurance policy applies; (g) Allow certain
of our Third party service providers to use a portion and/or a whole of activated or
inactivated insurance policies to calibrate or validate Services provided on Softlife;
and (h) Use your information and other personal information as described in these Terms
and

1.4.4 Third Party's Provision of Service: You
agree that some content available on Softlife are acquired and/or provided directly by
Third party providers of such content (as displayed on the product page and/or during
the acquisition process for the relevant content), not Softlife. In such a case,
Softlife shall not be a Party to the transaction between you and the Third party. You
agree that Third party services may attract fees and charges to include but not limited
to cost of goods and services, service charge, insurance policies, all of which are
non-refundable and you accept such charges. The Third party is solely responsible for
such content, and reserves the right to enforce its own terms of use as it relates to
such content. The Third party is also solely responsible for any warranties to the
extent that such warranties have not been disclaimed, and any claims that you or any
other Party may have relating to the Third party content. Softlife shall not be
responsible or liable for Third party materials including but not limited to contents,
fees and charges, insurance policy, and/or services. Our Services may contain
Sub-services operated and/or provided by Third parties on Softlife but that does not
constitute sponsorship, endorsement, approval, or responsibility. Softlife does not
offer any warranty or make any guarantees about such Third party services, their
contents, and/or products. Please read the terms and conditions, and privacy
documentation for all Third party service providers carefully, as they may differ
substantially from ours.
1.4.5 Subscription, Membership and Service
Credits: Where applicable, you may be offered to purchase subscription and/or membership
for either Softlife Services or Third party services. In such a case, a Service license
may be acquired and thereby resulting in billings for the cost of your Service
membership and/or subscription. Please note that some Services are not provided by
Softlife. Your purchase relationship with a Third party is governed by the Third party's
terms and conditions, not this Agreement, and any billing disputes related to your
Subscription or Membership must be directed to the Third party not Softlife. By using a
Third party service and subscribing to Membership, you agree that the Third party may
exchange your information, telephone number and subscription information with Softlife,
and that Softlife may use this information to determine the status of your Subscription
and/or Membership.
You agree to provide complete and accurate billing information, including a valid payment
method. For paid subscriptions, we shall automatically charge your payment method on each
agreed-upon periodic renewal until you cancel. You shall be responsible for all applicable
charges and taxes, and we shall charge tax when required. If your payment cannot be completed,
we may downgrade your account or suspend your access to such Services until payment is received.
We may offer some credit services whereby you can pay for in advance by purchasing via service
credits. All service credits shall be subject to our Service Credit Terms.
Fees, charges and prices to the Services may change from time to time. Any successful purchase
and/or subscription to Services on Softlife is irreversible and non-refundable. If subscription
fees, charges and prices are increased, we may choose to give you 30 (Thirty) days' notice
via your email or in-App notification and any price increase shall take effect on your next
renewal, to enable you to cancel if you do not agree to the price increase.
1.4.6 Downloading or Screenshotting your
Softlife App Data: We protect your information as described in our
. If you choose to download or screenshot a copy of your Profile, that copy is not
protected by our security measures and you are solely responsible for storing, securing,
and protecting that downloaded data. Softlife has no responsibility if you elect to
share or transfer your downloaded or screenshot Profile with others, either
intentionally or inadvertently. Your Profile is intended only for your personal use.
2. Softlife App Content
The Services contain images, photos, clips, extensions, stickers, subscriptions, videos,
designs, information, documents, indexes of content, and other content provided to you
directly by Softlife (“Softlife App Content”) that may vary depending on your
subscription. Except for Services directly provided by Third parties, which are governed
by the terms of such Third parties, all Softlife App Content shall be used only in
accordance with these Terms, including Softlife App Content that may also be in the
public domain (“Public Domain Content”).
2.1Similarity and Accuracy of Content: Due to
the nature of our Services, products and services on Softlife may not be unique,
exclusive or tailored to any specific Users. We may use familiar or freelance contents
to provide, maintain, develop, and improve our Services, comply with applicable law,
enforce our terms and policies, and keep our Services safe.
We are constantly working to improve our Services to make them more accurate, reliable, safe,
and beneficial. Given the probabilistic nature of technology, use of our Services may, in
some situations, result in minimal but rectifiable issues.
2.2 Intellectual Property Rights to Softlife
App Content: All elements of the Services that are created by us or under our direction,
or where the copyright has been assigned or licensed to us, are subject to
country-specific copyright protections around the world and international conventions.
The Services also include trademarks that are owned by us and protected under
country-specific and/or applicable trademark laws and treaties. All uses of our
trademarks, patents, designs and any goodwill resulting therefrom shall insure to our
benefit, and are also protected by the Copyright Act 2022, and other applicable
Copyrights protection regulations. We and our licensors retain ownership and all rights
in the exploitation of the Services and its component parts.
If you believe that your intellectual property rights have been infringed, please send out
an urgent complaint via email to
support@softlife.vip
with the subject header, “IP Rights Infringement”. We may delete or disable content that
we believe violates these Terms or is alleged to be infringing and will terminate accounts
of repeat infringers where appropriate.
All mails concerning copyright infringement must include the following information:
A physical or electronic signature of the person authorized to act on behalf of the
owner of the copyright interest.
A description of the copyrighted work that you claim has been infringed upon.
A description of where the allegedly infringing material is located on our site so
we can find it.
Your address, telephone number, and e-mail address.
A statement by you that you have a good-faith belief that the disputed use is not
authorized by the copyright owner, its agent, or the law and
A statement by you that the above information in your notice is accurate and, under
penalty of perjury, that you are the copyright owner or authorized to act on the
copyright owner's behalf.
2.3 Your Use of Softlife App’s Content: When
accessing Softlife App’s Content, you agree:
(a) To use Softlife App’s Content only in connection with your personal use of the
Services; (b) Not to remove any copyright or other proprietary notices on any Softlife
App’s Content; (c) Not to use significant portions of Softlife App’s Content outside the
Services, or in a manner inconsistent with your subscription; (d) To allow Softlife
monitor your use of the Services and content; (e) That content may be removed from the
Services (for instance, because the Third party terminated its Services on Softlife) and
become unavailable and inaccessible from Softlife. Where such occurs, Softlife shall not
be liable to refund any subsisting purchase and/or subscription related to such Third
party content and/or services; and (f) To contact us to obtain written permission to use
any information on Softlife for purposes other than what we created it for.
3. Your Information
Certain Services may allow you to provide personal information, and feedback to Softlife
as it relates to the Services (“Your information”). Your personal information shall be
treated in accordance with our .
3.1 You Control Your Information: Softlife
does not claim any ownership rights to your information, control what Services to
choose, or limit how you use your information outside of Softlife's Services. You can
delete your information either by following instructions provided within the Services or
by logging into your Account settings and deleting your Profile. However, if you submit
feedback or suggestions about Softlife or our Services, you acknowledge that it is
deemed to be non-confidential and non-proprietary and we have the right to use your
feedback or suggestions for any purpose without any obligation or compensation to you.
3.2 Use of Your Information: By submitting
your information, you grant Softlife a non-exclusive, sub-licensable, worldwide,
royalty-free license to host, store, index, copy, publish, distribute, provide access
to, create derivative works of, and otherwise use your information to provide, promote,
or improve the Services, consistent with your privacy and sharing settings. You can
terminate Softlife’s license by deleting your information, except to the extent you
shared your information with any Third party and they have used your information. You
also agree that Softlife owns any indexes that include your information and may use them
after your information is deleted. You further agree that Softlife may from time to time
be required to disclose your personal information to Governmental or Judicial bodies or
Agencies or our regulators, but we shall only do so under proper authority.
3.3 Your Responsibilities for Your
Information: You are responsible for the decision to subscribe to the Softlife App and
upload your information. By contributing or accessing your information, you agree:
(a) You have all the necessary legal rights to share your information; (b) Your information
shall not include a living person without their consent. In the case of living minors, you
shall get consent from their parent or guardian; (c) All shall comply with the Usage Policy;
(d) If you share your information publicly, other users may access and use your information
as part of, or in conjunction with, the Services. We are not required to remove any of your
information once it has been publicly shared; (e) You may use other Users' information only
within Softlife's Services and in compliance with these Terms and the other policies incorporated
by reference; (f) Softlife reserves the right to monitor your information for violations
of these Terms, including the Usage Policy, and to remove or disable access to your information
at our sole discretion; and (g) Serious or repeat violations or offenses shall subject the
responsible User to account termination at Softlife's sole discretion.
3.4 Reporting Violations of these Terms: We respect
the intellectual property rights of others. If you have concerns that any information violates
the Usage Policy , infringes your rights, contains illegal material, or violates these Terms,
please contact us. For complaints regarding copyright infringement or to submit a copyright
infringement notice and takedown request, including those made pursuant to the Copyright
Act 2022.
4. Refund, Renewals And Cancellations Of Softlife App Services
Your purchase(s) of and subscription(s) to any of the Services are subject to the
following Refund, Renewal and Cancellation Terms from time to time, and Softlife may
renew or suspend or cancel purchases and subscriptions if we find evidence of fraud,
abuse, misrepresentation, willful misconduct, unlawful and/or other manipulative
behavior that entitles Softlife to a corresponding counterclaim. Please refer to our
Refund, Renewals and Cancellations Policy for guidance.
All successful transactions to include but not limited to purchases, subscriptions, payments
on Softlife are fixed, final, irreversible and non-refundable. You may choose to renew or
cancel your subscriptions at any time. Please note that in some cases, cancellation may limit
the ability of our Services to better address your specific use case.
5. Termination or Suspension of Your Account
We reserve the right to limit, suspend, or terminate without notice to you, your access
to the Services if you fail or we suspect that you have failed, to comply with any of
the provisions of these Terms, including the Usage Policy. In such a case you shall not
be entitled to a refund of subscription/applicable funds and/or fees. Your access to the
Services shall be limited, suspended or terminated if you:
(a) Use the Services and Softlife App Content for purposes other than the ones set forth
in this Terms of Use or Usage Policy; (b) Attempt to transfer any commercial or promotional
rights to yourself; (c) Attempt to use any software, device, automated process, or any similar
or equivalent manual process to scrape, copy, or perform measurement, analysis, or monitoring
of, any portion of Softlife’s App Content or Services; (d) Attempt to tamper with or circumvent
any security technology included with Softlife’s Services or Content; (e) Required by law;
(f) Pose a risk or harm to Softlife, our Users, or anyone else.
Where any of the above breach or similar breaches occur, we may: (i) terminate this Agreement
and/or your Softlife ID, and you shall remain liable for all amounts due to include but not
limited to fees, charges, taxes, damages, claims related to any subscription you may have
subscribed to, up to and including the date of termination; and/or (ii) terminate your license
to use Softlife in future; and/or (iii) preclude your access to the Services.
Also, where you may have subscribed to a particular Service and your account becomes
inactive and/or dormant for over a year, we may terminate your account. In such
circumstances, we may choose to provide you with advance notice via your email address
known to Softlife via your personal information as provided.
If you believe we have suspended or terminated your account in error, you can file an appeal
with us by contacting our Support team.
We further reserve the right to modify, suspend, or discontinue the Services (in whole or
part or content thereof) at any time with or without notice to you and we shall not be liable
to you or to any Third party should we exercise such rights. Where such modification, suspension
or discontinuance of the Services occurs, all successful transactions prior to such discontinuance
shall be non-refundable. Also, where a User chooses to further conduct transactions even
after such discontinuance, Softlife shall not be liable to refund such transactions whether
erroneous or otherwise.
6. Disclaimer Of Guarantees Or Warranties
EXCEPT AS EXPRESSLY SET OUT IN THESE TERMS, WE PROVIDE THE SERVICES AND SOFTLIFE APP’S
CONTENT TO YOU ON AN “AS-IS” AND “AS AVAILABLE” BASIS, MEANING WITHOUT ANY GUARANTEE OR
WARRANTY. WE DO NOT GUARANTEE, REPRESENT, OR WARRANT THAT YOUR USE OF THE SERVICES SHALL
BE UNINTERRUPTED OR ERROR-FREE, AND YOU AGREE THAT FROM TIME TO TIME, SOFTLIFE MAY
REMOVE THE SERVICES FOR INDEFINITE PERIODS OF TIME, CANCEL THE SERVICES AT ANY TIME,
SUSPEND OR RESCIND FROM PROVIDING THE SERVICES EVEN AFTER USERS HAVE SUCCESSFULLY
PURCHASED AND/OR SUBSCRIBED TO IT, OR OTHERWISE SUSPEND, LIMIT OR DISABLE YOUR ACCESS TO
THE SERVICES WITHOUT NOTICE TO YOU. YOU EXPRESSLY AGREE THAT YOUR USE OF, OR INABILITY
TO USE, OR ACTIVATION IN CONNECTION WITH THE SERVICES IS AT YOUR SOLE RISK. TO THE
MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES EXPRESS OR IMPLIED,
INCLUDING THE IMPLIED WARRANTIES OF NON-INFRINGEMENT, MERCHANTABILITY, SATISFACTORY
QUALITY, QUIET ENJOYMENT, FITNESS FOR A PARTICULAR PURPOSE, AND TITLE. WE DO NOT MAKE
ANY PROMISES ABOUT (a) SOFTLIFE APP’S CONTENT, (b) YOUR INFORMATION, (c) THE SPECIFIC
FUNCTIONALITY OF THE SERVICES, (d) THE QUALITY, ACCURACY, RELIABILITY, SPECIFIC TIMELINE
FOR SERVICE PROVISION AND DISSEMINATION OR AVAILABILITY OF SOFTLIFE APP’S CONTENT OR
SERVICES, (e) THAT THE SERVICES SHALL BE FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS,
OR (f) DATA CHARGES YOU MAY INCUR IN CONNECTION WITH YOUR USE OF THE SERVICES. WE ARE
CONSTANTLY CHANGING AND IMPROVING OUR SERVICES. AS SUCH, SOFTLIFE MAY ADD OR REMOVE
FUNCTIONALITY OR FEATURES FROM THE SERVICES OR MAY EVEN SUSPEND OR STOP A SERVICE
ALTOGETHER.
7. Softlife App's Limited Liability
BY USING THE SERVICES, YOU AGREE THAT SOFTLIFE'S LIABILITY IS LIMITED TO THE FULLEST
EXTENT ALLOWED BY LAW. WE SHALL NOT BE LIABLE FOR ANY UNINTENTIONAL DAMAGE, ANY ACTUAL,
INCIDENTAL, OR CONSEQUENTIAL DAMAGE, OR FOR ANY LOSS OR CLAIM OF ANY KIND.
IF YOU ARE DISSATISFIED WITH ANY PORTION OF THE SERVICES OR WITH ANY STATEMENT IN THESE TERMS,
YOUR SOLE REMEDY IS TO STOP USING THE SERVICES AND, IF YOU ARE USING ANY OF OUR SUBSCRIPTION
SERVICES, CANCEL YOUR SUBSCRIPTION AS DESCRIBED IN OUR REFUND, RENEWALS AND CANCELLATIONS
POLICY. OUR TOTAL LIABILITY IN ANY MATTER RELATED TO THE SERVICES OR THESE TERMS IS LIMITED
TO THE AGGREGATE AMOUNT YOU PAID TO US FOR THE PROVISION OF THE SERVICES. THIS LIMITATION
OF LIABILITY APPLIES FULLY TO ALL USERS AND ONLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE
LAW.
8. Your Indemnity
You agree that you shall indemnify and hold harmless Softlife, and its affiliates and
subsidiaries their respective officers, directors, employees, agents, successors, and
assigns (Softlife’s Parties”) from any claims, damages, or other expenses (including
attorney’s fees) that result from your use of the Services and (a) your violation of
these Terms or other documents or policies incorporated herein by reference; (b) your
violation of another person’s rights; (c) any claim related to your utilization or
otherwise of the Services, Insurance policy and allied fees, charges etc successfully
purchased and/or subscribed to; or (d) any claim related to your information and use of
Softlife, including a claim that your information and use of Softlife caused damage to
you and/or another person. This indemnification obligation shall continue after you stop
using Softlife and its Services. In addition, you release Softlife’s Parties from all
claims, demands, actions, or suits in connection with your information and use of
Softlife, including any liability related to our use or non-use of your information,
claims for defamation, invasion of privacy, right of publicity, emotional distress,
psychological, mental, physical, moral, ethical, economic loss and allied claims.
9. Dispute Resolution, Arbitration And Class Action Waiver
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
We work hard to keep our users satisfied. If a dispute arises between you and Softlife, our
goal is to provide a cost-effective means of quickly resolving the dispute. If you have any
concern or dispute about the Services, you agree to first try to resolve the dispute informally
(hereinafter referred to as “Negotiation”) by contacting us and allowing us to cure the dispute
within 90 (Ninety) days.
9.1 As used in this Agreement, the term
“Dispute” is intended to be as broad as legally permissible and includes, but is not
limited to, all disputes between you and Softlife, based off Services directly provided
by Softlife to which you have purchased, subscribed or utilized, on the one hand, and/or
all disputes between you and Softlife, including any of its parents, subsidiaries,
predecessors, successors, assigns, or affiliates, on the other, that arise out of or
relate in any way to the Terms of this Agreement, or your interactions or relationship
with Softlife. Further, if you have or will use Softlife’s Services or otherwise
interact with Softlife on behalf of a minor or other individual for whom you are the
parent or legal guardian, you agree, on the minor’s or other person’s behalf, that any
dispute arising out of or relating to such use of the Services or other interaction with
Softlife shall be subject to Dispute resolution, as set forth herein, and subject to the
other Agreements set forth herein (including, but not limited to, the Class Action
Waiver); you further represent that you have the authority to enter such Agreement on
the minor’s or other person’s behalf. Any dispute between you and us will be resolved
through the provisions outlined in this Article and shall be final and binding, in
accordance with the terms of this Agreement.
9.1.1 Dispute Resolution Rules: Upon dispute
(cancellation, suspension, termination) arising, you agree to lodge formal complaints by
way of written notice addressed to Softlife, and Softlife shall reasonably kickstart an
investigation and cure proceedings between you and us, for the resolution of the
dispute. All Notices to be sent to us by you shall be provided using the contact
information you have initially provided to Softlife upon creating a Profile or, if such
information is not available or is not up to date, through personal service. The Notice
provided by you must include enough information to allow us to identify your Profile
(including the name and email address used for the account), as well as to assess and
attempt to resolve the claim, including a description of the claim, the specific
supporting facts for the claim, the damages sought, and the relief sought. This Notice
requirement is designed to allow us to make a fair, fact-based offer of settlement if
upon conducting our investigations and assessment, we conclude that User’s claim is
indeed justifiable. If upon investigation and assessment, we find that such claim was
justifiable, and you had made a successful purchase and/or have a subsisting
subscription, we shall reinstate you back on the Services to which you may have
purchased or subscribed. If such reinstatement is to occur after the term of your
previous subscription has expired, you shall be liable to pay all applicable fees,
charges, taxes etc for a successful reinstatement to the Services.
Neither Party shall initiate Mediation and/or Arbitration unless the above Notice, investigation
and conclusion have been successfully completed and Parties fail to resolve the dispute within
the 90 (Ninety) days cure period. If the dispute is not resolved within the 90 (Ninety) days
cure period, either Party may then proceed to Mediation at the Lagos Multi-Door Courthouse.
All proceedings shall be strictly conducted in accordance with the provisions of all applicable
laws. Where Mediation fails, either Party may within 30 (Thirty) days proceed to Arbitration
in Lagos State, Nigeria.
The Arbitration proceedings shall be governed by the Arbitration and Mediation Act 2023.
All proceedings and award shall be enforceable by any court of competent jurisdiction
located in Lagos state, Nigeria and/or any other jurisdiction. The Arbitrator, shall
have exclusive authority to resolve all disputes arising out of or relating to the
interpretation, applicability, enforceability, or formation of this Agreement, the Terms
or the Privacy Statement, including but not limited to any claim that all or any part of
the Terms or Privacy Statement is void or voidable, whether a claim is subject to
Arbitration, or the question of waiver by litigation conduct. The Arbitrator shall be
empowered to grant whatever relief shall be available in a court of competent
jurisdiction, under law or in equity. The Arbitrator’s award shall be written and shall
be binding on the Parties and may be entered as a judgment in any court of competent
jurisdiction.
9.1.2 Fees: You shall be required to pay any
amount otherwise required under the Arbitration rules and procedures, to initiate any
proceeding against us. If the Arbitrator finds your claims to be frivolous, you shall
pay all other fees awarded to Softlife, including Softlife’s filing fees, Arbitrator
fees and Hearing expenses. You are responsible for your own Counsel’s fees unless the
applicable rules and/or applicable law provide otherwise.
9.1.3 No Class Actions: This provision shall
be referred to as the “Class Action Waiver”. The Parties each agree that each Party
shall only resolve disputes with the other via Negotiation, on an individual basis and
shall not bring a claim as a Plaintiff or a class member in a class, consolidated, or
representative action. This provision applies to disputes resolved under Mediation,
Arbitration and any other disputes resolution mechanism, to the extent such disputes may
arise. If any judicial proceeding determines that the class action waiver set forth in
this Clause is void or unenforceable for any reason or that Arbitration can proceed on a
class basis, then the dispute shall first be instituted under the Multi-Door Courthouse
proceedings and/or Arbitration (where Mediation fails). The outcome of the proceedings
shall be final and binding on all Parties and shall be enforceable by a court of
competent jurisdiction located in Lagos State, Nigeria and/or any other jurisdiction.
9.1.4Multiple Claims: If 25 or more
individuals initiate notices of dispute with Softlife raising similar claims, and
counsel for the individuals bringing the claims is the same or coordinated for these
individuals, to the extent the claims proceed first through Negotiation. Where
Negotiation fails, the Parties shall proceed to Mediation and then Arbitration (where
Mediation fails), in a coordinated proceeding. All proceedings shall be in accordance
with the Arbitration rules and procedures and the outcome of such proceedings shall be
binding on all Parties. Our Counsel and Counsel for the other Parties shall each select
5 (Five) cases to proceed first in a bellwether proceeding. The remaining cases shall
not be filed until the first 10 (Ten) have been resolved. If the Parties are unable to
resolve the remaining cases after the conclusion of the bellwether proceeding, each side
may select another 5 (Five) cases to proceed for a second bellwether proceeding. This
process shall continue until the Parties are able to resolve all of the claims, either
through Mediation and/or Arbitration. A court of competent jurisdiction shall have
authority to enforce this Clause and, if necessary, to enjoin the mass filing of class
action and demands against Softlife.
Any award and judgment granted in any of the proceedings shall apply only to that specific
case. It cannot be used in any other case except to enforce the award and/or judgment itself.
9.1.5 Severability: Other than as set forth
in the Class Action Waiver, if any provision under Article 9 “Dispute Resolution,
Arbitration and Class Action Waiver” of this Agreement is adjudged to be invalid,
unenforceable, unconscionable, void or voidable, in whole or in part, such adjudication
shall not affect the validity of the rest of the Article in this Agreement. All
remaining provisions shall remain in effect.
9.1.6 Survival: This Dispute Resolution,
Arbitration and Class Action Waiver Article shall survive any termination of your
account or the Services.
9.2 Nigerian and Non-Nigerian Users: If you
are a Nigerian User and/or Non-Nigerian User, you may benefit from any mandatory
provisions of the law of the Federal Republic of Nigeria and nothing in this Agreement
affects your rights as a User to rely on such mandatory provisions of local laws. You
are entitled to bring any judicial dispute and proceedings (contractual and
non-contractual) relating to this Agreement before the Lagos Multi-Door Courthouse
and/or any jurisdiction of our choice.
If Softlife seeks to enforce any of its rights against you as a User, we shall do so only
through Mediation and/or Arbitration in the manner described under Article 9 Clause 9.1 above.
Subject to the foregoing, nothing contained in this Clause shall limit our rights to bring
enforcement proceedings in another jurisdiction or to seek interim, protective or provisional
relief in the courts of another jurisdiction within Nigeria and outside Nigeria.
9.3 Applicable Law: If you access the Services
in Nigeria and/or anywhere outside Nigeria, the laws of the Federal Republic of Nigeria,
shall govern these Terms and the use of the Services. You agree that all claims you may have
subject to dispute resolution shall be brought in Nigeria and shall be subject to the exclusive
jurisdiction of judicial dispute resolution systems operated and located in Lagos State,
Nigeria and/or any jurisdiction of our choice. Subject to Clause 9.2 above, if you access
the Services anywhere outside Nigeria, the laws of Nigeria and judicial dispute resolution
systems shall govern these Terms.
10. Miscellaneous
10.1Softlife: You are entering into these
Terms with a specific service or all services offered on and directly provided by
Softlife. Please see Article 1 of these Terms for the list of the Services Softlife
provides. We reserve the right to change the Terms and Services of Softlife at any time.
10.2 Modifications: We may modify these Terms
at any time. Material changes may become effective 30 (Thirty) days after they are
posted, except for changes addressing new Services or legal requirements, which will be
effective immediately. We may choose to give you at least 30 (Thirty) days advance
notice of changes to these Terms that materially adversely impact you either via email
or an in-App notification. However, your continued use of the Services means you accept
the modified Terms. If you do not agree to the changes, you should stop using the
Services.
10.3 Transfer of Rights and Obligations: We
reserve the right to assign or transfer our rights and obligations under this Agreement.
If Softlife or any Third party is acquired or transferred to another entity (in whole or
part, and including in connection with bankruptcy or similar proceedings), you agree
that Softlife may share your personal information and your content with that entity.
These Terms shall continue to apply to the Services until you receive notification
otherwise. You shall not assign or transfer any of your rights and obligations under
these Terms without Softlife’s written consent.
10.4Severability: Except as explicitly
provided herein, the unenforceability of any Article or Clause in these Terms shall not
affect the enforceability of the remaining Terms.
10.5 No Waiver: Our failure to enforce any
provision of these Terms is not a waiver of our rights under that provision, and we
reserve all rights not expressly provided to you herein. Except as provided in the
dispute resolution Article above, if any portion of these Terms is determined to be
invalid or unenforceable, that portion shall be enforced to the maximum extent
permissible and it shall not affect the enforceability of any other terms.
10.6Minors: Individuals under Eighteen or Age
of maturity: Softlife does not knowingly seek or collect any personal information
directly from anyone under the age of 18 (Eighteen) or Age of maturity, and where such
has been detected, Softlife shall take commercially reasonable efforts to delete such
data from our system.
10.7Unsolicited Idea Submission Policy:
Softlife does not accept, review, or consider unsolicited ideas or materials (including,
without limitation, new advertising campaigns, new promotions, new products or
technologies, processes, materials, marketing plans, or new product names) other than
those Softlife has specifically requested. Please do not send your unsolicited ideas or
materials to Softlife or its personal representatives. If you do send them, you
understand and agree that Softlife shall consider the unsolicited ideas and materials
you submit non-confidential and non-proprietary, and Softlife shall be entitled to
unrestricted use of these ideas and materials, without obligations, contractual or
otherwise, and without any compensation to you.
10.8 Trade Controls: You must comply with all
applicable trade laws, including sanctions and export control laws. Our Services may not
be used in or for the benefit of, or exported or re-exported to (a) any Nigeria
embargoed country or territory, or (b) any individual or entity with whom dealings are
prohibited or restricted under applicable trade laws. Our Services may not be used for
any end use prohibited by applicable trade laws, and your information may not include
material or data that requires a government license for release or export.
10.9
Entire Agreement: These Terms and other documents incorporated by reference are the entire
agreement between you and Softlife regarding your use of the Softlife App Services and supersede
any prior agreements.
SECTION B - PRIVACY POLICY
We are committed to maintaining the accuracy, confidentiality, and security of your
personally identifiable information ("Personal Information"). As part of this
commitment, our privacy policy governs our actions as they relate to the collection, use
and disclosure of Personal Information. Our privacy policy is based upon the values set
by the Nigeria Data Protection Act 2023.
1. Introduction: We are responsible for maintaining and protecting the Personal Information
under our control. We have designated personnel (“Administrators”) who shall be responsible
for compliance with our
.
2. Identifying Purposes: We collect, use and disclose Personal Information to provide you
with the Service you require and to offer you additional Services we believe you might be
interested in. The purposes for which we collect Personal Information will be identified
before or at the time we collect the information. In certain circumstances, the purposes
for which information is collected may be clear, and consent may be implied.
3. Consent: Knowledge and consent are required for the collection, use or disclosure of Personal
Information except where required or permitted by law. Providing us with your Personal Information
is always your choice. However, your decision not to provide certain information may limit
our ability to provide you with our Services. We shall not require you to consent to the
collection, use, or disclosure of information as a condition to the supply of Service, except
as required to be able to supply the Service.
4. Limiting Collection: The Personal Information collected shall be limited to those details
necessary for the purposes identified by us. With your consent, we may collect Personal Information
from you in person, over the telephone or by corresponding with you via mail, facsimile,
or the Internet.
5. Limiting Use, Disclosure and Retention: Personal Information may only be used or disclosed
for the purpose for which it was collected unless you have otherwise consented, or when it
is required or permitted by law. Personal Information may be retained for the period of time
required to fulfill the purpose for which we collected it, or extend after suspension, cancellation
or termination from our Services or as may be required by law.
6. Accuracy: Personal Information shall be maintained in as accurate, complete and up-to-date
form as is necessary to fulfill the purposes for which it is to be used.
7. Safeguarding User Information: Personal Information shall be protected by security safeguards
that are appropriate to the sensitivity level of the information. We take all reasonable
precautions to protect your Personal Information from any loss or unauthorized use, access
or disclosure.
8. Openness: We shall make information available to you about our policies and practices
with respect to the management of your Personal Information.
9. User Access: Upon request, you shall be informed of the existence, use and disclosure
of your Personal Information, and shall be given access to it. You may verify the accuracy
and completeness of your Personal Information, and may request that it be amended, if appropriate.
However, in certain circumstances permitted by law, we shall not disclose certain information
to you. For example, we may not disclose information relating to you if other individuals
are referenced or if there are legal, security or commercial proprietary restrictions.
10. Handling User Complaints and Suggestions: You may direct any questions or enquiries with
respect to our privacy policy or our practices to
support@softlife.vip .
SECTION C - SERVICE TERMS
These Service Terms govern your use of the Services. Capitalized terms not defined here
will have the meanings in the Terms of Use or other Policies and Agreement you have with
us governing your use of the Services (“Agreement”). If there is a conflict between the
Service Terms and your Agreement, the Service Terms shall prevail. For purposes of these
Terms, “Content” includes User Content.”
1. General Ticketing, Purchases and Allied Service
This Article governs your general ticketing, purchases and allied Services to include
but not limited to: Events ticketing, Cinema ticketing, Valet parking, Regular parking,
Flight bookings, Ride bookings, Food sale and purchase, Drink sale and purchase,
Insurance policies and allied Services, therein provided on Softlife. Some general
ticketing, purchases and allied Services may be subject to an interest-free installment
payment plan (also known as “PAY-IN-5”), to be paid in 5 (five) consecutive installments
by Users, and such installment payment MUST be completed at least 24 (twenty-four) hours
prior to the provision of any and/or such general ticketing, purchases and allied
Service. The provision of any current or future interest-free installment payment plan
for general ticketing, purchases and allied Services shall be at Softlife’s sole
discretion. All general ticketing, purchases and allied Services payment plans are
subject to the provisions under Article 1 clause 1.3 of our Terms of Use. All Services
are offered “AS-IS” and “AS AVAILABLE” basis, meaning without any guarantee or warranty.
We do not guarantee, represent, or warrant that your use of the Services shall be
uninterrupted or error-free, and you agree that from time to time, Softlife may remove
the Services for indefinite periods of time, cancel the Services at any time, suspend or
rescind from providing the services even after Users have successfully purchased and/or
subscribed to it, or otherwise suspend, limit or disable your access to the Services
without notice to you. You expressly agree that your use of, or inability to use, or
activation in connection with the Services are at your sole risk. To the maximum extent
permitted by law, we disclaim all warranties express or implied, including the implied
warranties of non-infringement, merchantability, and fitness for a particular purpose,
and title. All general ticketing, purchases and allied Services are subject to
restrictions, cancellations and termination by Softlife. However, where these Services
are affected by Third party actions, the adverse effect of such commission or omission
shall be strictly limited to the Third party and therefore Softlife shall be exempted
from any claims Users may have against such Third party. Where: (i) User attempts
to make cancellation of purchases and/or subscriptions due to personal error; (ii)
User attempts to initiate a refund or make cancellation of successful purchases and/or
subscriptions; (iii) User attempts to initiate a refund or make cancellation of
successful purchases and/or subscriptions after Services have been disseminated;
(iv) User knew or should have known the Services were infringing or likely to
infringe; (v) User disabled, ignored, or did not use any relevant citation,
filtering, in-App notification or safety features or restrictions provided by Softlife;
(vi) Services were modified, transformed, or used in combination with products or services
not provided by or on behalf of Softlife; (vii) Services were suspended, canceled
or terminated due to force majeure or an act of commission or omission by a Third party;
(viii) User did not have the right to purchase or use the Services;
(ix) there is a claim that alleges violation of trademark or related rights based
on User’s purchase or use of Services in trade or commerce; and (x) allegedly
infringing Services are from contents from Third party services, Softlife shall not be
liable for any loss or claims associated with such acts or wrongdoings.
2. Softlife Administration And Service Indemnity
(a) Softlife Administrators: Softlife shall be managed by its dedicated personnel with
administrative privileges (“Administrators”). Administrators shall have the ability to
provide and administer Softlife Services for all Users (including affiliates), and shall
be able to: (i) add, remove and suspend Users’ access to Softlife; (ii) access, share
and remove Content; and (iii) access logging and information about Users’ use of
Softlife. Softlife is responsible for obtaining and maintaining all necessary consents
from Users to take the actions above which shall allow us to deliver the Services. (b)
Service Indemnity: Softlife’s indemnification obligations to Users under the Agreement
include claims that User’s use or distribution of the Services infringes a Third party’s
intellectual property right. This indemnity does not apply where: (i) User violates the
Terms of Use or other documents or policies; (ii) User violates another person’s rights;
or (iii) User makes claim related to user’s information and use of Softlife, including a
claim that user’s information and use of Softlife caused damage to another person. This
indemnification obligation shall continue after you stop using Softlife and its
Services. In addition, you release Softlife’s Parties from all claims, demands, actions,
or suits in connection with your information and use of Softlife, including any
liability related to our use or non-use of your information, claims for defamation,
invasion of privacy, right of publicity, emotional distress, or economic loss.
3. Password And Code Generation
Services generated by code generation features may be subject to Third party licenses,
including, without limitation, open source licenses. Softlife shall in good faith
provide Users with secure online transactions methods and other transactions for which
generated codes may be required, to reduce the chances of fraud for those
transactions.You must cancel your transaction or use an alternative payment method if
you do not want us to verify it using the generated codes or if you do not accept the
Terms of Use or understand how they apply to you. Softlife shall not be liable for any
erroneous transactions carried out on the Softlife App. Softlife does not offer you any
additional rights regarding the quality of the Services that you purchase or subscribe
to. This is a 2nd level authentication being put in place to ensure that your
transactions are protected from on-line fraud. (1) Verification of Payment: (a) If we
need to carry out additional verification of your payment request before processing it,
we shall ask you to input the code displayed or the one-time password (OTP) sent to your
registered phone number and email address. (b) If you're unable to or do not wish to
enter your code or OTP, for example if you do not agree to or accept these Terms of Use,
your payment will not be processed.
(2) Cardholder Security: You are solely responsible for maintaining the confidentiality of
your card information. You agree not to transfer or sell your use of, or access to, your
card details, codes etc to any Third party. You agree to immediately notify us of any unauthorized
use of your card, or any other breach of security.
4. Softlife Content
Users can create and share access to their own customized versions of Softlife Services.
For all Users (including Third party Service Providers):
(a) Softlife Content: Your personal information (for example username and password and other
information provided ahead of the creation of your Profile) is your content. As between you
and Softlife, you are solely responsible for the Services that are based on the instructions,
content, custom actions, and configurations that you use or enable to create your Profile.
Other Users may rely on contents or Third party applications that are not controlled by Softlife.
You must ensure your Profile complies with the Agreement and our Usage policy.
(b) Actions: If you enable your Profile to interact with Services (an “Action”) you own or
control, then you must comply with our Plugins and Actions Terms. If you enable your Profile
to interact with an Action owned or controlled by a Third party, you are responsible for
ensuring that any collection, use, or transmission of any information from you to the Third
party is authorized by you.
(c) Removal: We may remove or refuse to make any Service available on Softlife at any time
without notice to you for: (i) legal, fraud and abuse prevention, or security reasons; or
(ii) if your Services otherwise violates our Terms.
(d) Use of Softlife: We grant you a non-exclusive, non-transferable, non-sublicensable license
to use Softlife. You may not imply that we create, support, or endorse your Content without
our prior written consent.
(e) Abuse Reporting: You can report Users that violate our Usage policy using our reporting
feature within Softlife.
(f) Custom Actions: Softlife may allow you to interact with Actions. Those Actions are subject
to our terms for Plugins and Actions Terms.
(g) Changes and Removal: Administrators of Softlife can remove Services at any time without
prior notice.
SECTION D - SERVICE CREDIT TERMS
These Softlife Service Credit Terms (“Terms”) are an agreement between you and Softlife.
(or our affiliates) and govern your purchase, subscription, receipt, or use of any
credit redeemable for our Services (“Service Credit”). Capitalized terms used but not
defined in these Terms will have the meanings set forth in the agreement between you and
Softlife governing your use of the applicable Services (the “Agreement”).
1. We may offer the option to prepay for certain Services through the purchase of credits
(“Prepaid Service Credits”). Prepaid Service Credits represent the amount you have paid in
advance for use of the respective Services. Additional terms may apply to specific Services.
2. We may also offer Service Credits free of charge as part of a promotional program rather
than for purchase (“Promo Service Credits”). Promo Service Credits will not be applied against
any taxes, insurance policies, sales, use, gross receipts, or similar transactions that may
be applicable to you.
3. Service Credits are not legal tender or currency; are not (i) redeemable, (ii) reversible,
(iii) refundable, or (iv) exchangeable for any sum of money or monetary value; have no equivalent
value in fiat currency; do not act as a substitute for fiat currency; and do not constitute
or confer upon you any personal property right. Service Credits are non-transferable and
may be used only in connection with the applicable Service.
4. All sales of Services, including sales of prepaid Services, are final, irreversible, and
non-refundable. Service Credits shall expire 1 (One) year after the date of purchase or issuance,
unless otherwise specified at the time of purchase.
5.Your available Service Credit balance may be reviewed in your Softlife account. You are
solely responsible for verifying that the proper amount of Service Credits has been added
to or deducted from your balance.
6. We prohibit and do not recognize any purported transfers, sales, gifts, or trades of Service
Credits. Evidence of any attempt to use, sell, or transfer Service Credits in any manner
violates these Terms and may result in revocation, termination, or cancellation of the Service
Credits and/or your use of the Services without refund to you, and immediate suspension or
termination of your account.
7. We reserve the right to suspend or terminate your use of the Services in accordance with
the Agreement, including suspending or terminating your Service Credit balance, in compliance
with applicable law.
8. We may modify these Terms at any time by posting a revised version on Softlife or by emailing
the email associated with your account. The modified Terms will become effective from the
date it is posted on Softlife or, if we notify you by email, as stated in the email message.
By receiving or using any Service Credit after the effective date of any modification to
these Terms, you agree to be bound by the modified Terms.
SECTION E - USAGE POLICY
This Usage Policy is created to ensure that Users use our tools safely and responsibly.
It applies to all Users of Softlife’s Services. By following them, you will ensure that
our technology is used for good. If we discover that your usage doesn’t follow this
policy, we may ask you to make necessary changes. Repeated or serious violations may
result in further action, including suspending or terminating your Account/Profile.
Our policy may change as we learn more about the use and abuse of Softlife. Below are our
guidelines for usage:
SECTION F - PLUGINS AND ACTIONS TERMS
(a) Overview: Plugins and Actions (together “Plugins”) are features in Softlife that
allow you to send instructions to and receive information from another application or
website (“Application”) while using our Services. Each Plugin is made available by the
developer of the Application, which is typically a Third party not affiliated with
Softlife. You may take action on an Application through one or more Plugins. For
example, you may enable a plugin for a food purchase and delivery via the Services. You
are solely responsible for the actions you take using Plugins. You must manually enable
each plugin, which allows the applicable Service to access and use the enabled plugin.
Softlife may but shall have no obligation to review, refuse, or remove Applications from
it. However, by using Plugins, you may be exposed to Applications or content that you
may find offensive, inappropriate or objectionable. You agree that you use Plugins at
your own risk. DO NOT ENABLE A PLUGIN UNLESS YOU KNOW AND TRUST THE UNDERLYING
APPLICATION AND HAVE REVIEWED ITS TERMS AND PRIVACY POLICY.
(b) Plugin Operation and Content: When you enable a plugin, the Services shall send applicable
portions of your Content and certain information such as your country and state (“Plugin
Data”) via the plugin to the Application. By enabling the plugin, you authorize and instruct
us to send your Plugin Data to the applicable Application, which shall be handled in accordance
with its terms. We are not responsible for Plugin Data after it has been provided to an Application
other than Softlife. The Plugin shall retrieve information and Content from the Application,
which may be included in Services you use. This information and Content included is not owned
by you or Softlife, and may be subject to the terms of the Application.
SECTION G - REFUND, RENEWAL AND CANCELLATION TERMS
This Policy is created to ensure that Users are able to recover funds that fall under
the refundable fees category. For the purpose of clarity and interpretation, all
successful purchases, subscriptions, insurance policies, applicable charges, applicable
taxes and allied fees, prices, funds etc payable and/or accruable to the Services shall
be deemed non-refundable. These steps MUST be followed to ensure a successful and smooth
cancellation process:

Policy is to provide you with clear information about the purposes for which Softlife
uses cookies and the choices you have when it comes to managing your cookie settings
when using Softlife.
A cookie is a small computer file or piece of information that may be stored in your computer's
hard drive when you visit our websites. Cookies are useful because they allow Softlife and
our Partners to uniquely recognise your device, and we may use cookies to improve our website’s
functionality and in some cases, to provide visitors with a customized online experience
for example by helping us to understand your preferences or past actions. Cookies do lots
